Welcome to GAISEO, a service of Productive AI GmbH ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our websites, plugins, and SaaS platforms.
By using GAISEO, you agree to these Terms. If you do not agree, please do not use our services.

(1) These Terms govern all contracts between Productive AI GmbH ("GAISEO") and the customer regarding the use of GAISEO software, plugins, and services.
(2) GAISEO offers AI-powered SEO analysis tools and plugins for WordPress, Framer, Webflow, and Wix. Products are distributed through gaiseo.com and third-party marketplaces.
(3) Any deviating, conflicting, or supplementary terms of the customer shall only become part of the contract if and to the extent that GAISEO has expressly agreed to their applicability in writing.
(1) A user account on gaiseo.com is required to access paid features. An account is automatically created for you when you purchase a product.
(2) Your account on gaiseo.com serves as the central management interface for all GAISEO products, regardless of which platform (WordPress, Framer, Webflow, Wix) you use the plugin on. Through your account you can:
(3) You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
GAISEO offers the following billing models:
Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current subscription price at each renewal.
We will notify you of any price changes at least 30 days in advance via email. In the event of a price increase, you have the right to cancel before the next renewal date.
All prices are displayed in EUR and include applicable VAT (where required). Current pricing is available at gaiseo.com/purchase.
Payments are processed by Stripe, Inc. as our payment service provider. License management and product delivery are handled through Easy Digital Downloads (EDD). By subscribing, you authorize GAISEO to charge recurring payments to your selected payment method.
If a payment fails, Stripe will automatically retry. If payment fails after all retry attempts, the subscription will be cancelled and the license deactivated. You will receive an email notification before this occurs.
(1) Upon purchase, you receive a non-exclusive, non-transferable license to use the respective GAISEO plugin for your personal or business website(s), subject to the activation limits of your plan.
(2) The license is valid for the duration of the subscription. Upon cancellation or expiration, the license terminates at the end of the paid period.
(3) Reselling, redistribution, or sublicensing is prohibited without written permission from GAISEO.
(1) Certain plans include monthly AI credits that reset at the beginning of each billing cycle.
(2) Unused credits expire at the end of the billing period and do not carry over to the next month.
(3) Credit limits depend on your subscription tier (Pro: 100 credits/month, Create: 500 credits/month). Current limits are listed in the product description.
(4) You can monitor your credit usage at any time in the customer portal at gaiseo.com/my-account.
You agree not to use GAISEO services for unlawful purposes. In particular, it is prohibited to:
(1) AI features use third-party APIs (OpenAI via Microsoft Azure). Data is routed through a secure proxy.
(2) Input data is not used for AI model training.
(3) You retain all rights to content generated through AI features.

You may cancel your subscription at any time through one of the following methods:
Cancellations take effect at the end of your current billing cycle. You will retain access to all paid features until the end of the period you have already paid for.

If you are a consumer within the European Union, you have the right to withdraw from this contract within 14 days without giving any reason.
The right of withdrawal expires prematurely if we have begun the performance of the contract (provision of digital content, i.e., activation of the license) after you have:
(1) Refund requests are honored within 14 days of the initial purchase in accordance with the right of withdrawal.
(2) After the withdrawal period, cancellations take effect at the end of the billing cycle without refund.

(1) GAISEO strives for high availability but does not guarantee uninterrupted service.
(2) Maintenance and updates may be performed without prior notice.
(3) For planned extended downtime, we will make reasonable efforts to inform you in advance.
(1) GAISEO shall be liable without limitation for damages arising from injury to life, body, or health caused by intentional or negligent breach of duty by GAISEO.
(2) GAISEO shall be liable without limitation for other damages caused by intentional or grossly negligent breach of duty by GAISEO.
(3) In the event of a breach of material contractual obligations (cardinal obligations) due to slight negligence, liability shall be limited to the foreseeable, contract-typical damage.
(4) In all other cases, liability for slight negligence is excluded.
(5) The above limitations of liability also apply in favor of GAISEO's legal representatives and vicarious agents.
(6) Liability under the German Product Liability Act remains unaffected.
(1) GAISEO is entitled to terminate the contract for cause and suspend your access if you violate these Terms or misuse the services.
(2) In serious cases (e.g., circumvention of licensing mechanisms, resale of licenses), access may be suspended without prior warning.
(3) In the event of a justified termination for cause, there is no entitlement to a refund.
(1) GAISEO reserves the right to amend these Terms with effect for the future.
(2) Significant changes will be communicated at least 30 days before they take effect via email.
(3) If you do not object to the changes within 30 days of receiving the notification, the changes shall be deemed accepted. You will be specifically informed of this right to object and the consequences of silence in the notification.
(4) In the event of an objection, either party reserves the right to terminate the contract at the end of the current billing period.
(1) These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) For consumers who have their habitual residence in another EU member state, the mandatory consumer protection provisions of their state of residence shall additionally apply insofar as they are more favorable to the consumer.
(3) The place of jurisdiction for all disputes with merchants is Munich, Germany.
(4) For consumers, the statutory place of jurisdiction applies.
(1) Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected.
(2) Amendments, supplements, and side agreements require written form.
